TLDRs;

  • Akamai raises $2.6B via convertible bonds to fund major cloud and edge infrastructure expansion strategy.
  • Anthropic’s $1.8B AI computing deal acts as a key driver behind Akamai’s funding push and growth outlook.
  • Shares stay mostly flat as investors weigh AI-driven upside against dilution and heavy capital spending.
  • Industry shift toward distributed AI workloads boosts demand for edge computing and multi-cloud infrastructure providers.

Akamai Technologies (NASDAQ: AKAM) shares traded largely unchanged after the company revealed plans to raise $2.6 billion through a dual-tranche convertible bond offering aimed at scaling its cloud infrastructure and edge computing capabilities.

The muted stock reaction reflects a market balancing optimism around artificial intelligence-driven demand with concerns about potential dilution and heavy long-term spending commitments.

The fundraising will be split into two zero-coupon convertible bond tranches due in 2030 and 2032. Pricing is expected after the New York market closes on May 19. The structure includes conversion premiums ranging from 37.5% to 42.5% for the 2030 notes and 30% to 35% for the 2032 notes, indicating investors are pricing in meaningful long-term equity upside.

Buybacks partially offset dilution

Akamai said it intends to allocate approximately $350 million from the proceeds toward repurchasing shares directly from bond investors. The remainder will be used for hedging costs, capital expenditures tied to its Cloud Infrastructure Services division, and expansion of its global edge network.

The company’s strategy highlights its ongoing transformation from a traditional content delivery network operator into a broader cloud infrastructure and edge computing player. Edge computing, which processes data closer to users rather than centralized data centers, has become increasingly important as AI workloads require lower latency and higher efficiency.

Anthropic partnership drives momentum

A central driver behind the capital raise is Akamai’s recently signed seven-year computing agreement with AI company Anthropic, valued at $1.8 billion. The contract represents the largest deal in Akamai’s history and underscores the growing demand for large-scale AI infrastructure.

Following the announcement of the partnership, Akamai shares surged by about 27% in a single day, marking the strongest one-day performance in more than two decades. The rally reflected investor enthusiasm for companies positioned to benefit from accelerating AI compute demand.

Anthropic has reported rapid expansion in usage and revenue, with demand for computing resources rising sharply as AI models scale across enterprise and consumer applications. This surge has placed additional pressure on infrastructure providers like Akamai to expand capacity quickly.

Cloud market shifts toward decentralization

The broader cloud computing landscape is undergoing a structural shift. Instead of relying on a single hyperscaler, AI firms are increasingly distributing workloads across multiple providers. This shift benefits companies like Akamai that specialize in edge computing and distributed infrastructure.

Akamai’s 2022 acquisition of Linode for approximately $900 million has played a key role in strengthening its cloud capabilities beyond its core content delivery business. The integration has helped position the company as a more competitive player in infrastructure services.

For now, the stock’s lack of movement suggests investors are waiting for clearer evidence that the company can translate its aggressive investment strategy and major AI partnerships into sustained revenue growth and profitability.
