REAL Technologies Inc., the parent company of REAL Finance, has announced the signing of its first securities tokenization agreement with Factori AD, an EU-regulated investment broker providing brokerage, OTC execution, custody, and investment advisory services.
The agreement activates an institutional pipeline of more than $100 million in client assets and represents the first live deployment of REAL Finance’s infrastructure for tokenized regulated securities. Under the arrangement, Factori AD will route institutional and client assets through REAL’s system while continuing to manage regulated brokerage operations, including client onboarding, KYC, AML compliance, licensed OTC execution, and segregated custody services. International securities will be held through Bank of New York, while Bulgarian securities will be stored at the Central Depository in Bulgaria.
The first transaction under the agreement involves equity derivatives linked to Alpha Bulgaria AD, a publicly traded investment company listed on the Bulgarian Stock Exchange under the ticker ALFB. The pilot covers 5,000,000 warrants valued at approximately €2.75 each, which have been designated for tokenization via REAL’s infrastructure under Factori AD’s regulated custody and transfer-agent framework. The transaction forms the initial phase of a broader institutional pipeline, with Factori AD committing more than $100 million in additional client assets for future tokenization.
The execution is planned on an EVM-compatible blockchain ahead of the rollout of REAL Finance’s Layer 1 mainnet and is intended to test the full workflow for tokenized securities, including regulated sourcing, licensed execution, custody, and on-chain settlement.
“”We see growing institutional demand for regulated tokenization infrastructure that can bridge traditional securities markets with blockchain-based settlement systems. Through this agreement with REAL Finance, we are able to provide clients with a compliant framework for bringing real financial instruments on-chain while maintaining regulated execution, custody, and onboarding standards,”” said Dimitar Tsvetanov, Managing Director at Factori AD.
REAL Finance’s model focuses on tokenizing real securities, including listed equities, derivatives, private shares, and bonds, rather than synthetic exposure products. The company positions itself as an infrastructure and settlement layer, while regulated intermediaries retain responsibility for underlying assets and compliance obligations.
“Signing this agreement demonstrates that REAL’s tokenization capabilities are operational and under contract with real securities and a regulated broker,” said Ivo Grigorov, Chief Executive Officer of REAL Technologies in a written statement. “The pilot allows us to validate the full model before we scale to service our multi-nine-figure committed assets pipeline,” he added.
“We designed the architecture around licensed custody, full compliance, and genuine instruments,” said said Valentin Dimitrov, Chief Operating Officer of REAL Technologies in a written statement. “This first executed deal, together with the committed flow, confirms institutional demand for the infrastructure we are building,” he added.
The announcement comes amid growing institutional interest in tokenized real-world assets, as regulated financial institutions increasingly evaluate blockchain-based systems for securities settlement and asset servicing.
