TLDR

  • INDO Earth Moving Ltd. was purchased by Ondas (ONDS) on March 17, 2026
  • A $140 million military contract for Heavy Engineering Platforms comes with INDO
  • Acquisition structure: $5.66M in cash plus 5.49M shares, with potential earn-outs reaching $140M across three years
  • Contract revenues are projected to commence in Q2 2026
  • Shares of ONDS climbed approximately 7% following the announcement, building on a 3% premarket gain

On March 17, 2026, Ondas (ONDS) revealed its acquisition of INDO Earth Moving Ltd., a specialist in procuring and maintaining heavy engineering equipment for defense and infrastructure projects.

The transaction included an immediate revenue catalyst. INDO had already secured a $140 million contract as the lead contractor to deliver a fleet of heavy-tracked engineering vehicles to a significant military client whose identity remains undisclosed.

Ondas paid $5,663,398 in cash combined with 5,493,388 stock units for the acquisition. Performance-based earn-out payments totaling up to $140 million could be paid over the next three years, contingent on INDO achieving designated operational targets.

The agreement includes a provision allowing Ondas to cancel the deal prior to the first milestone should INDO fail to satisfy the tender’s specifications. Additionally, a Registration Rights Agreement was executed, providing INDO’s former owners with controlled stock resale options subject to daily volume restrictions to maintain market stability.

The contract encompasses the provision of multiple heavy engineering vehicles across a two-year delivery timeline. It further requires establishing comprehensive maintenance and logistics support infrastructure to sustain operations for a minimum of four years post-delivery.

Contract-related revenue is anticipated to begin flowing in Q2 2026.

What Ondas Plans to Do With INDO

CEO Eric Brock described engineering vehicles as “critical” components of contemporary military strategy, emphasizing their importance in enabling mobility, providing force protection, and supporting construction activities in combat zones.

Ondas views INDO as substantially more than a single contract opportunity. The company intends to leverage its established robotics capabilities — developed through subsidiaries Roboteam, Apeiro, and 4M Defense — to progressively transform INDO’s engineering vehicles into autonomous platforms.

This strategy involves integrating remote control capabilities, autonomous navigation systems, and mission automation features into the vehicles. Ondas Autonomous Systems Co-CEO Oshri Lugassy explained that the objective is transforming engineering vehicles into systems capable of functioning in dangerous environments while eliminating personnel exposure.

How This Fits the Broader Portfolio

Ondas currently operates in both aerial drone and ground robotics sectors. The INDO acquisition introduces heavy engineering vehicles as a complementary third component to this technology portfolio.

4M Defense specializes in mine clearance and land intelligence operations. Roboteam produces unmanned ground vehicles deployed by defense organizations. Apeiro develops cutting-edge ground robotics solutions. INDO’s heavy engineering vehicle capabilities integrate naturally with these existing operations.

The company also identified potential civilian applications, including border protection, emergency response operations, and infrastructure construction — though no specific contracts in these sectors were disclosed.

Ondas indicated it will provide additional details regarding INDO’s financial projections during its earnings conference call scheduled for March 25, 2026 at 8:30 a.m. Eastern Time.

Shares of ONDS gained approximately 7% on March 17 after the acquisition announcement, extending gains from a roughly 3% increase during premarket trading that morning.
